Apex Acquisition Fund I (AAF)

Apex Acquisition Fund collaborates with skilled and driven entrepreneurs to ACQUIRE and SCALE profitable businesses. This type of fund is commonly referred to as a "Search Fund." Typically, previous business owners are seeking retirement without a successor to continue operations, making selling to new ownership their optimal exit strategy.

What is a Search Fund?

A Traditional Search Fund compensates a Searcher with a fixed salary to find a suitable business for acquisition. However, this traditional approach has room for enhancement. A significant portion of Searchers struggle to identify a viable acquisition target because of the Traditional Search Funds' large target acquisition size, leading to the Fund bearing the burden of paying their salary over a two-year period regardless of success. Moreover, if a Searcher does manage to secure a company for acquisition, their ownership stake typically hovers around 20%, resembling more of an employee role rather than an entrepreneurial venture.

AAF is different from a Traditional Search Fund.

What is a Self-Funded Searcher?

Self-Funded searchers are fully dedicated to finding a business to acquire. They look for deals in their spare time or treat looking for a business to acquire as their full time job, without any compensation from our fund.

What is AAF’s Role?

AAF serves as both an ADVISOR and FINANCIER for Self-Funded Searchers. We assist entrepreneurs in evaluating opportunities, negotiating deals, and structuring transactions. When the business is acquired, we take equity position by providing the majority of the capital required for the down payment on a business loan. Following the acquisition, our advisory support continues as we guide entrepreneurs in thinking expansively and implementing the right strategies to achieve significant exits.

What is the Searcher’s Role?

After identifying the business, the Searcher will assume full-time operational responsibilities post-acquisition. Additionally, the Searcher personally guarantees the business loan, thereby absolving AAF of any potential default risks.

  • Exiting Entrepreneur provides “Seller Financing.”
  • Typically 5 year loan at 10%.

AAF Equity Capital

15% of Capital Required

  • AAF provides equity capital for the acquisition down payment and is entitled to a preferred return with annual interest accrual, as set forth in each deal’s terms.
  • AAF may receive an equity step-up that grants ownership rights proportional to invested capital and the deal terms agreed at closing.
  • Distribution rights prioritize payment of the preferred return and return of AAF invested capital before pro-rata distributions based on the cap table.
